TERMS OF BUSINESS

1. Introduction and Scope
These Terms of Business (“Terms”) govern the relationship between GRIT Trading Academy (“we”, “us”, “our”, “the Academy”) and any individual or entity (“you”, “the Client”, “the Member”) who purchases, accesses, or uses any of our educational modules, community forums, mentorship services, or related offerings (collectively, “the Services”).
By purchasing any module or accessing any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not purchase or access any of our Services.
These Terms should be read in conjunction with our Terms of Service, Privacy Policy, and any supplementary documentation provided at the point of purchase.
2. Nature of Services
2.1 Educational Purpose Only
The Academy provides educational content, training materials, community discussion forums, and mentorship services strictly for educational and informational purposes. Our Services are designed to help individuals develop their knowledge and understanding of financial markets and trading concepts.
2.2 Not Financial Advice
IMPORTANT: Nothing provided by the Academy, whether through our modules, community forums, mentorship sessions, live demonstrations, case studies, or any other medium, constitutes, or should be construed as constituting:
- Financial advice, investment advice, or trading advice within the meaning of the Financial Services and Markets Act 2000 (as amended)
- A personal recommendation to buy, sell, hold, or otherwise deal in any financial instrument, security, cryptocurrency, derivative, or other investment product
- Tax advice, legal advice, or any other form of regulated professional advice
- An inducement, invitation, or solicitation to engage in any investment activity
- A guarantee, representation, or warranty as to the future performance of any financial market, instrument, or trading strategy
2.3 Regulatory Status
GRIT Trading Academy is not authorised or regulated by the Financial Conduct Authority (“FCA”) and does not carry out any regulated activities as defined under the Financial Services and Markets Act 2000 or the Financial Services and Markets Act 2023. We do not hold any FCA permissions, and we are not registered on the FCA Register.
We do not provide portfolio management services, manage client funds, execute trades on behalf of clients, or provide any service that would require FCA authorisation.
Any individual associated with the Academy who holds professional qualifications (including but not limited to the CFA Charter, CISI qualifications, or similar designations) does so in a personal capacity. Such qualifications do not alter the educational nature of the Services provided, nor do they create any advisory, fiduciary, or regulatory relationship between the Academy and its Members.
3. Service Description
3.1 Educational Modules
The Academy offers seven (7) educational modules, each available for individual purchase at a price of $689 (six hundred and eighty-nine US dollars) per module. Modules cover various aspects of financial market education including, but not limited to, concepts related to foreign exchange (forex), equities, cryptocurrencies, options, and futures.
Module content is provided as-is at the time of purchase and may include pre-recorded video content, written materials, case studies, quizzes, and supplementary resources. The Academy reserves the right to update, modify, or retire module content at any time without prior notice.
3.2 Community Forums
Purchased modules may include access to our online community forums hosted on the Skool platform. Community forums are provided for peer-to-peer discussion and educational exchange. Views expressed by community members, including Academy staff and mentors, within the forums do not constitute financial advice.
3.3 Mentorship Services
Certain modules or packages may include access to one-on-one mentorship or coaching sessions. Mentorship is provided for educational purposes only and is subject to availability. Mentorship sessions are not advisory in nature, and mentors do not provide personalised financial recommendations.
4. Payment Terms
4.1 Pricing and Currency
Each module is priced at $689 USD. All prices are inclusive of any applicable digital service charges unless otherwise stated. VAT or other applicable taxes may apply depending on your jurisdiction and will be displayed at checkout where required.
4.2 Payment Methods
Payment must be made in full at the time of purchase via the payment methods available on our platform. We reserve the right to modify accepted payment methods at any time.
4.3 No Refund Policy
ALL SALES ARE FINAL. Due to the digital nature of our educational content and the immediate access granted upon purchase, we operate a strict no-refund policy. By completing a purchase, you acknowledge and agree that:
- You waive any right to a refund, chargeback, or credit once payment has been processed and access to the module has been granted
- You have had the opportunity to review available information about the module content prior to purchase
- You understand that the no-refund policy applies regardless of whether you complete, partially complete, or do not access the module content
4.4 Chargebacks
In the event that you initiate a chargeback or payment dispute with your payment provider, the Academy reserves the right to immediately suspend or terminate your access to all Services, pursue recovery of the disputed amount plus any associated administrative costs, and take any further action deemed necessary to protect our legitimate business interests.
5. Client Responsibilities and Acknowledgements
5.1 Independent Decision-Making
You acknowledge and agree that any trading or investment decisions you make are entirely your own. The Academy does not direct, instruct, or influence your personal trading or investment activities. You are solely responsible for conducting your own due diligence, research, and analysis before making any financial decision.
5.2 Risk Acknowledgement
You acknowledge that:
- Trading and investing in financial markets carries a high degree of risk, including the risk of losing substantially more than your initial investment
- Past performance, whether demonstrated in educational materials, case studies, or by Academy personnel, is not indicative of future results
- No trading strategy, methodology, or approach taught or discussed within our Services guarantees profits or protection from losses
- The value of financial instruments can fluctuate rapidly and unpredictably due to market conditions, economic events, geopolitical factors, and other variables beyond anyone’s control
- You should never trade or invest with money that you cannot afford to lose
- You should seek independent professional financial advice before engaging in any trading or investment activity
5.3 Eligibility
By purchasing our Services, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher), you are legally capable of entering into binding contracts, and that purchasing and accessing our Services does not violate any laws or regulations applicable to you in your jurisdiction.
5.4 Compliance with Laws
You are solely responsible for ensuring that your use of any knowledge, concepts, or techniques discussed within our Services complies with all applicable laws, regulations, and rules in your jurisdiction, including but not limited to securities regulations, anti-money laundering laws, and tax obligations.
6. Intellectual Property
All content provided through the Services, including but not limited to video recordings, written materials, course structures, methodologies, graphics, logos, trademarks, and software, is the exclusive property of GRIT Trading Academy or its licensors and is protected by applicable intellectual property laws.
Your purchase of a module grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the module content for your personal educational purposes only. You must not reproduce, distribute, publicly display, sublicense, resell, share login credentials, record or screen-capture content, or create derivative works from any of our content without prior written consent.
Breach of this section will result in immediate termination of access without refund, and the Academy reserves the right to pursue all available legal remedies.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Academy, its directors, officers, employees, contractors, mentors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Services
- The Academy shall not be liable for any trading losses, investment losses, lost profits, lost opportunities, or any financial loss whatsoever that you may incur, whether or not such losses were foreseeable and regardless of whether the Academy was advised of the possibility of such losses
- The Academy’s total aggregate liability to you for any claims arising out of or in connection with these Terms or the Services shall not exceed the amount paid by you for the specific module giving rise to the claim
- The Academy does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components
Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
8. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, the Academy expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.
The Academy makes no representation or warranty that any trading strategy, concept, or educational content will produce any particular financial result. Any examples, demonstrations, or hypothetical scenarios used within the Services are for illustrative and educational purposes only and should not be relied upon as an indicator of real-world performance.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Academy, its directors, officers, employees, contractors, mentors, agents, and affiliates from and against any and all claims, demands, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Services or any content provided through the Services
- Any trading or investment decisions you make
- Your breach of these Terms
- Your violation of any applicable law or regulation
- Any claim that your actions have caused damage to a third party
10. Termination and Suspension
The Academy reserves the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason including but not limited to: breach of these Terms, abusive or disruptive behaviour within the community, sharing of login credentials or module content, non-payment, or any conduct that the Academy reasonably considers harmful to the Academy, its members, or its reputation.
Upon termination, your right to access the Services ceases immediately. No refund will be provided upon termination, regardless of the reason for termination. Provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to Sections 6, 7, 8, and 9.
11. Data Protection and Privacy
We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our Privacy Policy, available separately, provides full details of how we collect, use, store, and protect your personal data. By using our Services, you consent to the processing of your personal data as described in our Privacy Policy.
12. Third-Party Platforms and Services
Our Services may be delivered through or in conjunction with third-party platforms (including but not limited to Skool, payment processors, and video hosting services). The Academy is not responsible for the acts, omissions, terms, or policies of any third-party platform. Your use of third-party platforms is subject to the terms and conditions of those platforms.
13. Force Majeure
The Academy shall not be liable for any delay or failure in performance of its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, war, terrorism, civil unrest, power failures, internet outages, platform outages, or cyberattacks.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
In the event of any dispute, the parties agree to first attempt to resolve the matter through good faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may commence formal legal proceedings.
15. Amendments
The Academy reserves the right to amend these Terms at any time. Amended Terms will be effective upon posting to our website or platform. Your continued use of the Services following the posting of amended Terms constitutes your acceptance of the amendments. For material changes, we will make reasonable efforts to provide advance notice.
16. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with the Terms of Service, Privacy Policy, and any module-specific terms presented at the point of purchase, constitute the entire agreement between you and the Academy with respect to the subject matter hereof and supersede all prior agreements, representations, and understandings.
